CFR 43.17) and under EASA 145 (European Aviation Safety Agency).

Code of Conduct
The conduct of Discovery Air Inc. (“DA”) is reflected in the actions of the individuals who act on its behalf including members of the Board of Directors, officers and employees (hereafter collectively and individually referred to as DA’s “representative(s)”). The integrity of DA is therefore dependent on the personal integrity of each and every representative of DA and therefore DA requires a strong ethical corporate climate at all levels. Any transaction or activity that either DA or its representatives engage in must be capable of being subject to public scrutiny without the risk of bringing embarrassment to either DA or any of its representatives.

Conflict of Interest
This policy applies to all directors, officers and employees of Discovery Air Inc. and its direct and indirect wholly-owned subsidiaries. This policy is in addition to the obligations of directors and officers to report Conflicts of Interest under the company’s Code of Conduct.
Unless otherwise specifically mentioned, all references to “Discovery Air” include Discovery Air Inc. and its direct and indirect wholly-owned subsidiaries. Any reference to “you” means any director, officer or employee of Discovery Air.

Confidential Submissions Policy
Discovery Air Inc. (“DA”) is committed to a corporate environment that demonstrates and encourages ethical behaviour at all levels of the organization. DA is committed to complying with all applicable laws to which it is subject and to protecting Employees and all of its assets and resources.

Securities and Trading Policy
Securities laws and corporate laws prohibit a director, officer and any employee of Discovery Air Inc. (“DA”) or of any of DA’s subsidiaries, and any person in a special relationship with DA or any of DA’s subsidiaries (including DA itself and any of DA’s subsidiaries), from buying or selling securities of DA while having material information that has not yet been made public by DA. These laws also prohibit such information from being passed on to others (including to a spouse, relative or friend). Also, certain directors and officers of DA and its subsidiaries are subject to reporting obligations under Canadian securities laws. Violation of these laws could seriously prejudice DA and could result in prosecution and/or termination of DA’s association with the offending person. The purpose of this policy is to safeguard against violations of these laws.
